Remix USA Creator Program Terms & Conditions

These Terms & Conditions (the "Agreement") constitute a legally binding agreement between you (the "Creator," "you," or "your") and Remix USA ("Company," "we," "us," or "our") regarding your participation in the Remix USA Creator Program (the "Program"). By joining the Program, you agree to comply with and be bound by the following terms.

1. Nature of the Relationship

1.1 Independent Contractor Status: The Creator is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, franchise, or employment relationship between the Creator and Remix USA. 1.2 No Ownership or Authority: Participation in this Program does not grant the Creator any equity, ownership, voting rights, or decision-making authority within Remix USA. Creators are strictly authorized to promote the Remix RS Card and have no authority to make legally binding representations or commitments on behalf of the Company.

2. Program Platform and Payouts

2.1 Third-Party Platform: The Program is hosted and managed via GoAffPro. Creators must maintain an active and compliant account on this platform to participate. 2.2 Payment Method: All commissions and reimbursements are processed exclusively through PayPal. The Creator is responsible for maintaining accurate PayPal account details within GoAffPro. Remix USA is not responsible for delayed, lost, or misdirected payments resulting from incorrect payment information.

3. Equipment Purchase and Reimbursement Policy

3.1 Initial Purchase: To maintain authenticity in promotion, Creators are required to purchase the Remix RS Card. Upon acceptance into the Program, Creators will receive a customized discount code allowing them to purchase the Remix RS Card at a 50% discount off the current public retail price. 3.2 Hardware Reimbursement: Remix USA agrees to reimburse the Creator for the exact out-of-pocket cost they spent on their initial discounted Remix RS Card, subject to the following strict conditions:

• Performance Requirement: The Creator must successfully generate a minimum of three (3) confirmed, non-returned sales using their designated affiliate link.

• Mandatory Maturation Period: A mandatory waiting period of ninety (90) days from the date of the Creator's initial entry into the Program must elapse. This 90-day waiting period applies regardless of how quickly the three (3) required sales are generated. Upon meeting both conditions, the reimbursement will be issued to the Creator via PayPal.

4. Commission Structure and Clawbacks

4.1 Standard Commission: Creators will earn a flat commission of $10.00 USD for each valid sale generated directly through their unique affiliate link. 4.2 Returns and Clawback Policy: Remix USA reserves the absolute legal authority to revoke, deduct, or "claw back" the $10.00 USD commission for any sale that results in a customer return, refund, or chargeback. If a commission has already been paid out prior to the return, Remix USA will deduct the $10.00 USD from the Creator's current or future pending affiliate balance. If no future balance is available, the Creator may be required to remit the clawback amount to the Company.

5. Earnings Disclaimer

5.1 Visual Representations: Any charts, graphs, income projections, or graphics presented on the Remix USA Creator Program webpage, promotional materials, or GoAffPro dashboard are for visual and illustrative purposes only. 5.2 No Guarantee of Income: These graphics do not constitute a promise, guarantee, or accurate projection of actual earnings or profits. The Creator's actual success depends entirely on their individual effort, audience engagement, and marketing strategies.

6. Communication and Support

6.1 Access to Community Management: Remix USA provides Creators with the direct phone number of our designated Community Manager to assist with program-related inquiries. 6.2 Response Time: Creators acknowledge that our team's scheduling varies. There is no guarantee or expectancy of an immediate, timely, or on-demand response. All inquiries will be addressed as team availability permits.

7. Limitation of Liability and Indemnification

7.1 Liability: Remix USA, its officers, and affiliates shall not be held liable for any indirect, incidental, special, or consequential damages arising in connection with this Agreement or the Creator Program, even if advised of the possibility of such damages. 7.2 Indemnification: The Creator agrees to indemnify and hold harmless Remix USA from any legal actions, claims, damages, or expenses (including attorney fees) arising from the Creator's promotional methods, misrepresentations of the product, or violation of applicable laws (including FTC endorsement guidelines).

8. Modification and Termination

8.1 Right to Terminate: Remix USA reserves the right to suspend or terminate a Creator's account and participation in the Program at any time, for any reason, without prior notice. 8.2 Right to Modify: We reserve the right to modify the terms of this Agreement, including commission rates and product pricing, at our sole discretion. Continued participation in the Program constitutes acceptance of any modified terms.
